These Terms and Conditions (“Terms”) govern your access to and use of the OutSpot mobile application and related services operated by OutSpot.

By downloading, accessing, creating an account, or using OutSpot, you agree to be legally bound by these Terms. If you do not agree, you must immediately stop using the Service.

1. DEFINITIONS

For purposes of these Terms:

• “OutSpot”, “Company,” “we,” “us,” or “our” means OutSpot Inc.
• “Service” means the OutSpot mobile application, systems, features, software, APIs, content, messaging systems, AI systems, and related functionality.
• “User”, “you,” or “your” means any individual or entity using the Service.
• “Content” means text, photos, videos, comments, reviews, check-ins, usernames, profile data, messages, AI-generated content, and any material uploaded or submitted through the Service.
• “Sponsored Content” means promoted places, businesses, partnerships, advertisements, or paid placements.
• “Location Data” means precise or approximate geolocation information collected from your device.
• “AI Features” means recommendation systems, ranking systems, moderation tools, search systems, generative systems, automation systems, or machine-learning functionality.

3. ELIGIBILITY

You must be at least thirteen (13) years old to use the Service.

If you are under the age of majority in your jurisdiction, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

OutSpot reserves the right to restrict or terminate access to any user at any time and for any reason.

4. ACCOUNT REGISTRATION

To use certain features, you must create an account.

You agree to:

• provide accurate information;
• maintain current information;
• maintain security of your credentials;
• immediately notify us of unauthorized use;
• accept responsibility for all activities occurring under your account.

You may not:

• impersonate another person;
• create misleading accounts;
• sell or transfer accounts;
• use automated account creation systems;
• create accounts for unlawful purposes.

OutSpot reserves the right to suspend, restrict, shadow-ban, disable, or permanently terminate accounts at its sole discretion without notice or liability.

5. LOCATION SERVICES

OutSpot provides location-based discovery and social functionality.

By using the Service, you consent to the collection, processing, transmission, and storage of precise and approximate location data.

Location data may be used to:

• display nearby places;
• recommend locations;
• improve search relevance;
• power social discovery;
• deliver sponsored content;
• improve safety and moderation;
• enhance AI systems and analytics.

You acknowledge:

• location results may be inaccurate;
• nearby results may not be current;
• GPS systems may fail;
• user-generated locations may be misleading;
• location-based interactions may involve risks.

OutSpot is not responsible for:

• inaccurate location data;
• offline encounters;
• criminal conduct by users;
• real-world incidents;
• user safety decisions;
• emergency situations.

OUTSPOT IS NOT AN EMERGENCY SERVICE.

DO NOT RELY ON OUTSPOT FOR EMERGENCY RESPONSE, LAW ENFORCEMENT, MEDICAL ASSISTANCE, OR PERSONAL SAFETY.

6. THIRD-PARTY SERVICES

OutSpot may use third-party providers including:

• Google Maps Platform;
• Google Places API;
• Apple services;
• push notification providers;
• analytics providers;
• cloud infrastructure providers;
• AI and moderation vendors.

Your use of certain features may also be governed by third-party terms and policies.

OutSpot is not responsible for:

• third-party outages;
• API failures;
• inaccurate data;
• mapping inaccuracies;
• provider interruptions;
• third-party conduct.

Google Maps and related content are subject to Google’s applicable terms and policies.

7. USER CONTENT

You retain ownership of your Content.

However, by posting or submitting Content, you grant OutSpot a worldwide, royalty-free, perpetual, irrevocable, transferable, sublicensable license to:

• host;
• store;
• reproduce;
• modify;
• distribute;
• display;
• publish;
• adapt;
• analyze;
• train moderation systems;
• improve AI systems;
• operate and promote the Service.

This license survives termination where legally necessary.

You represent and warrant that:

• you own or control all rights to the Content;
• your Content does not violate laws or third-party rights;
• your Content is not defamatory, fraudulent, abusive, or misleading.

8. PROHIBITED CONDUCT

You may not:

• harass or threaten others;
• stalk users;
• impersonate others;
• post illegal content;
• distribute malware;
• scrape or harvest data;
• reverse engineer the Service;
• use bots or automation;
• exploit vulnerabilities;
• interfere with servers or networks;
• bypass moderation systems;
• manipulate rankings or engagement;
• use AI systems to mass-harvest content;
• build competing datasets;
• reproduce the Service;
• create derivative competing products;
• use the Service for unauthorized commercial activity;
• upload sexually exploitative material;
• distribute hateful or violent content;
• misuse reporting systems;
• post misleading location information.

Competitors and automated systems are strictly prohibited from scraping, copying, indexing, mining, training AI systems on, or commercially exploiting any part of the Service without written authorization.

9. AI FEATURES

OutSpot may use AI and automated systems for:

• recommendations;
• moderation;
• ranking;
• search;
• personalization;
• fraud prevention;
• spam detection;
• safety enforcement.

AI-generated outputs may:

• be inaccurate;
• contain errors;
• be incomplete;
• produce unexpected results.

OutSpot makes no guarantees regarding AI-generated content or recommendations.

 

10. MESSAGING & COMMUNICATIONS

Certain communications may use encrypted systems.

While OutSpot implements commercially reasonable security measures, no system is completely secure.

You acknowledge:

• transmissions over the internet may be intercepted;
• vulnerabilities may exist;
• encryption may fail;
• unauthorized access may occur despite safeguards.

You use messaging features at your own risk.

 

11. CONTENT MODERATION

OutSpot reserves the absolute right to:

• remove Content;
• restrict visibility;
• demonetize content;
• limit distribution;
• disable accounts;
• investigate users;
• preserve evidence;
• cooperate with law enforcement.

OutSpot has no obligation to host, retain, or display any Content.

Moderation decisions are final unless otherwise required by law.

 

12. INTELLECTUAL PROPERTY

The Service, including:

• branding;
• trademarks;
• logos;
• designs;
• software;
• interfaces;
• source code;
• algorithms;
• databases;
• AI systems;
• visual assets;
• business methods,

are owned exclusively by OutSpot Inc. and protected by intellectual property laws.

“OutSpot” and related branding may not be used without written permission.

 

13. DMCA & COPYRIGHT

If you believe Content infringes your intellectual property rights, contact:

support@outspot.app

OutSpot may remove allegedly infringing material without notice.

Users who repeatedly infringe intellectual property rights may have accounts terminated permanently.

 

14. SPONSORED CONTENT & FUTURE MONETIZATION

OutSpot may display:

• sponsored places;
• paid recommendations;
• advertisements;
• affiliate content;
• promoted businesses;
• premium subscriptions;
• paid features.

Sponsored or promoted content may influence rankings, visibility, or recommendations.

OutSpot is not responsible for:

• advertiser claims;
• business conduct;
• sponsored venue quality;
• third-party products or services.

 

15. BETA FEATURES

Certain features may be labeled:

• beta;
• experimental;
• early access;
• preview;
• test features.

Such features may:

• malfunction;
• disappear;
• lose data;
• change without notice.

OutSpot disclaims all liability relating to beta features.

 

16. TERMINATION

OutSpot may suspend or terminate access immediately and without notice for any reason, including:

• suspected violations;
• legal risks;
• security concerns;
• abusive behavior;
• inactivity;
• business decisions.

We reserve the right to permanently delete accounts and associated data consistent with applicable law and operational requirements.

 

17. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUTSPOT DISCLAIMS ALL WARRANTIES, INCLUDING:

• MERCHANTABILITY;
• FITNESS FOR A PARTICULAR PURPOSE;
• NON-INFRINGEMENT;
• AVAILABILITY;
• ACCURACY;
• RELIABILITY;
• SECURITY.

OUTSPOT DOES NOT GUARANTEE:

• uninterrupted operation;
• error-free functionality;
• availability;
• data preservation;
• uptime;
• accurate recommendations;
• successful delivery of messages;
• accuracy of user-generated content;
• accuracy of maps or loca

18. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

OUTSPOT INC., ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, PARTNERS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR:

• INDIRECT DAMAGES;
• INCIDENTAL DAMAGES;
• CONSEQUENTIAL DAMAGES;
• SPECIAL DAMAGES;
• PUNITIVE DAMAGES;
• LOST PROFITS;
• LOST DATA;
• LOSS OF BUSINESS;
• PERSONAL INJURY;
• EMOTIONAL DISTRESS;
• OFFLINE INTERACTIONS;
• USER CONDUCT;
• CRIMINAL ACTS;
• LOCATION ERRORS;
• SERVICE INTERRUPTIONS.

OUTSPOT’S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF:

• ONE HUNDRED U.S. DOLLARS (USD $100), OR
• THE AMOUNT YOU PAID TO OUTSPOT IN THE PRIOR TWELVE MONTHS.

Some jurisdictions do not allow certain limitations, so portions may not apply to you.

 

19. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless OutSpot Inc. and its affiliates from claims, liabilities, damages, losses, costs, and expenses arising from:

• your Content;
• your conduct;
• your misuse of the Service;
• your violation of these Terms;
• your violation of law;
• your violation of third-party rights.

20. FORCE MAJEURE

OutSpot shall not be liable for delays or failures caused by events beyond reasonable control, including:

• natural disasters;
• cyberattacks;
• infrastructure failures;
• government actions;
• labor disputes;
• internet outages;
• API outages;
• acts of war;
• pandemics.

 

21. ARBITRATION AGREEMENT

PLEASE READ CAREFULLY.

YOU AND OUTSPOT AGREE THAT ALL DISPUTES SHALL BE RESOLVED THROUGH BINDING INDIVIDUAL ARBITRATION.

YOU WAIVE:

• THE RIGHT TO A JURY TRIAL;
• THE RIGHT TO PARTICIPATE IN CLASS ACTIONS;
• THE RIGHT TO PARTICIPATE IN REPRESENTATIVE ACTIONS.

Arbitration shall be conducted in Texas under applicable arbitration rules selected by OutSpot.

You may only bring claims individually.

This arbitration clause survives termination.

22. CLASS ACTION WAIVER

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AGREE THAT:

• CLAIMS MAY ONLY BE BROUGHT INDIVIDUALLY;
• NO CLASS ACTIONS ARE PERMITTED;
• NO REPRESENTATIVE CLAIMS ARE PERMITTED;
• NO CONSOLIDATED PROCEEDINGS ARE PERMITTED.

 

23. GOVERNING LAW

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law principles.

Subject to arbitration provisions, exclusive jurisdiction shall lie in Texas courts.

 

24. PRIVACY

Your use of OutSpot is also governed by the OutSpot Privacy Policy.

By using the Service, you consent to our collection and use of data consistent with that policy.

 

25. CHANGES TO TERMS

OutSpot may modify these Terms at any time.

Updated Terms become effective upon posting.

Continued use of the Service constitutes acceptance of revised Terms.

 

26. SEVERABILITY

If any provision is found unenforceable, the remaining provisions remain fully enforceable.

 

27. ENTIRE AGREEMENT

These Terms constitute the complete agreement between you and OutSpot regarding the Service and supersede prior agreements.
